M&A Sell Side Process

Exclusive Sale Transactions: We represent sellers on an exclusive basis and manage the entire process of selling a company or one of its business units. This is a comprehensive, turnkey process. We assist our clients by:

  • Determining the expected valuation range for the business
  • Performing due diligence
  • Preparing a memorandum describing the business
  • Identifying and prioritizing potential buyers
  • Developing the appropriate marketing strategy
  • Communicating with and soliciting interest from potential buyers
  • Evaluating offers
  • Helping negotiate the transaction
  • Providing a fairness opinion, if appropriate

Other Sale Transactions: We also represent companies (i) which have received unsolicited merger proposals and need help evaluating alternatives, negotiating with the suitor, and/or locating alternative bidders, or (ii) which have had discussions or even negotiations with a friendly third-party and need structural/financial support, negotiating assistance or a fairness opinion.
