Situation
Croft & Bender was retained by Alliance Surgery in 2007 to act as its financial advisor to sell or merge the Company.
Result
Alliance Surgery was acquired by HealthMark Partners in a stock-for-stock transaction in April 2008. Alliance Surgery and HealthMark Partners were a strong strategic fit in that both focus on a minority equity ownership model in ASCs, while most competitors focus on majority equity ownership. On a combined basis, the Companies managed 17 ASCs and had 7 ASCs under development at that time. The transaction brought together exceptional experience in ASC development and operations as well as the scale and resources to accelerate the building of the business.
