Situation
Croft & Bender was originally approached by management to raise capital to fund the Company’s sales and marketing efforts and enhance its technology offering. Croft & Bender was hired to draft the offering memorandum, market the Company to interested parties and to analyze, structure, and negotiate a transaction that would raise the necessary capital.

Result
Croft & Bender developed significant interest and received initial offers from multiple venture capital firms. During the negotiations and selection of a term sheet, and as a result of the process, a strategic partner made an offer to purchase the Company. Croft & Bender successfully negotiated the sale of Visionary Systems to Trans Union LLC.
