Situation
Ardence had previously raised capital from a group of 10 investors, including its largest investor, GE Capital. Due to GE Capital’s desire to exit the venture space and the impending deadline for mandatory redemption of Ardence’s Preferred Stock, investors sought to sell or recapitalize the Company. Ardence had been approached by a potential buyer, and Croft & Bender was hired to act as the Company’s financial advisor. After the initial buyer backed away, Croft & Bender marketed the Company to numerous potential strategic and financial acquirers.
Result
Croft & Bender successfully sold Ardence to Advent International and Capital Resource Partners. The transaction satisfied the requirements of the CompanyÕs existing investors and provided Ardence with a financial partner that will significantly enhance its growth potential.
