Ampad is one of the largest manufacturers and marketers of branded and private label paper-based office products, with manufacturing capabilities in the U.S. and Mexico. The Company is one of the leading suppliers in each of the four key office product categories: writing pads and notebooks, filing supplies, retail envelopes, and specialty papers.

Situation
Arcapita, the private equity owner of Ampad, approached Croft & Bender after receiving a preemptive offer from a strategic acquirer. The Company engaged Croft & Bender to evaluate the preemptive offer and advise the company through a full exclusive sale process, which included valuing the Company, identifying potential acquirers, drafting the offering memorandum and related materials, marketing the Company, selecting a partner, and negotiating the transaction.

Result
Two potential acquirers, one strategic and one financial, submitted competing bids after completing accounting, legal, and business due diligence on the Company. Croft & Bender ultimately negotiated the sale of the Company to Esselte, a J.W. Childs Associates portfolio company.
